SERVICE AGREEMENT – SHADE SAILS PROJECT

This agreement made ________________________ by and between Ultimate Shade Alternatives, the Contractor, and ______________________________________ the property Owner of site located __________________________________________ .

Project Price
Design selected by Owner is USA#  described as _______________________________ with an estimated (+/- 10%) project cost of $__________ (does not include tax) with actual pricing of project determined once point-to-point measurements are taken of sails - after hardware is installed. The final cost of the project may change subject to additions and/or change orders billed at time and materials rates.

Payment
Prior to project start date, Owner will pay Ultimate Shade Alternatives fifty-percent (50%) of estimated project cost in the amount of $_____ to cover costs of materials required to begin installation.  Final payment will be due in full the day project is completed.

Scope of the Work
Ultimate Shade shall furnish all of the materials and perform all of the work required to complete project as shown on the attached drawings which includes: designs, point-to-point measurement of each sail, fabrication of Custom-Made Sails, Stainless Steel Hardware for mounts, Stainless Steel Cable for rigging of Sails, and all other materials required to complete installation.

General Provisions
Any alteration or deviation from the agreed upon drawing and/or specifications, will be executed only upon written order for same, and signed by Owner and authorized personnel of Ultimate Shade. A project change fee plus any/all additional costs for alteration or deviation will be added to cost of the project.

In addition, the following general provisions apply:

1.      All work shall be completed by Ultimate Shade in a workman-like manner and in compliance with Arizona Registrar of Contractor codes.

2.      Owners are responsible for all communications with HOA’s, Neighborhood Governance Committees, and/or City Planning Commissions.

3.      Owners at their own discretion and expense have to obtain all permits necessary for the work to be performed.

4.      Ultimate Shade shall furnish a drawing showing the shapes and approximate size of the sails, materials to be used and a description of the work to be done.

5.      Ultimate Shade may at its discretion engage sub-contractors and to the extent required by law all work shall be performed by individuals duly licensed and authorized by law to perform said work. 

6.      Owners will be responsible for engaging Blue Stake or another utility locator to mark for underground lines 3 days prior to scheduled installation date. 

7.      Owners may request removal of dirt from site at an additional charge of $100.00. 

8.      Ultimate Shade agrees to remove all other project related debris and leave the permission broom clean condition. 

9.      Ultimate Shade shall not be liable for any delay due to circumstances beyond its control including import delays at Customs, in climate weather conditions, strikes, casualty or general unavailability of materials. 

10.  Ultimate Shade warrants all work against faulty workmanship for a period of 12 months following completion. 

11.  Ultimate Shade extends the material manufacturers warranty (10 years) against UV degradation of sail material, and provides hardware & workmanship warranty (1 year) for services provided. 

12.  Owner confirms they have read and understand all information provided in this Service Agreement AND has carefully reviewed information in “Ultimate Shade’s Estimate & Information” documents.
